Terms of Service

1.Accept
1.1.	Welcome to webnibbler.com and/or ccmedia.com (the Site). CCMedia provides its website services (the Service) and content (The Content) to you subject to the following terms and conditions ("Terms of Service"), which may be updated by CCMedia from time to time without prior notice. Please read them carefully. By completing the registration process and/or using the Service, you hereby agree to follow and be bound by the Terms of Service.
1.2.	When using particular CCMedia owned or operated services, you and CCMeda will be subject to any posted rules applicable to such services which may be posted from time to time. All such rules are hereby incorporated by reference into the Terms of Service. If there is a conflict between the Terms of Service and the rules posted for the Service, the latter shall have precedence with respect to your use of that specific Service.
1.3.	CCMedia reserves the right to modify the Terms of Service, in its sole discretion, at any time without prior notice. You can review the most current version of the Terms of Service online . If you continue to use the Service, you are deemed to have accepted the modifications. You are responsible for regularly reviewing these terms and conditions.

2.Your Registration Obligations
2.1.	To access certain particular features of the Site or the Service, we may ask you to register with us on the form provided and such registration may require you to provide your personal information. You agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Service's registration form (such information being the "Registration Data") and (b) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. 2.2.	If you are registering on behalf of your company or other legal entity, you represent and warrant that you have the authority to bind such entity to this Terms of Service. “You” and the phrase “your” shall be construed accordingly.

3.Use of Service
3.1.	CCMedia currently provides users with access to the Service and the Content through its Sites. Unless otherwise specified, the Service and the Content are for your personal and non-commercial use.
3.2.	You are responsible for obtaining access to the Service, and that access may involve third-party fees (such as internet service provider or airtime charges). You are responsible for those fees, including those fees associated with the display or delivery of advertisements. In addition, you must provide and are responsible for all equipment required to access the Service.
3.3.	CCMedia may charge fees for using portions of the Service or the Service as a whole. You can find the current price lists on the Site. You shall pay all applicable taxes related to the use of the Service through your account. CCMedia may change its fees and payment policies for the Service from time to time. Any breach of the payment policy will result in immediate termination of the Service.

4.Member Account, Password and Security

4.1.

If you register for the Service, you may receive a password and account designation upon completing the Service's registration process. You understand and agree that you are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account or as a result of your access to the Service. You understand and agree that: (a) you may not share your password(s), account information, or access to the Site; (b) you agree to immediately notify CCMedia of any unauthorized use of your password or account or any other breach of security. CCMedia cannot and will not be liable for any loss or damage arising from your failure to comply with this Section 4.

5.User Conduct
5.1.	You agree not to use the Site, the Content and the Service for any purpose that is unlawful or prohibited by these Terms of Use or the rules posted for the particular Service.
5.2.	You will not nor will you allow any third party to (i) copy, modify, adapt, translate or otherwise create derivative works of the Content or the software available on the Site(“the Software”); (ii) reverse engineer, de-compile, disassemble or otherwise attempt to discover the source code of the Software; (iii) rent, lease, sell, assign or otherwise transfer rights in or to the Service, the Software or the Content; (iv) remove any proprietary notices or labels on the Software or placed by the Service; or (v) use, post, transmit or introduce any device, software or routine which interferes or attempts to interfere with the operation of the Service, the Software or the Site. You will use the Software, Service and Content solely for Your own internal use, and will not make the Software or Service available for timesharing, application service provider or service bureau use. You will comply with all applicable laws and regulations in your use of and access to the Content, Software and Service.

6.Termination of Use
6.1.	You agree that CCMedia, in its sole discretion, may terminate your password, account (or any part thereof) or use of the Service, and remove or discard any Content within the Service for any reason, including, without limitation, for lack of use or if CCMedia believes that you have violated or acted inconsistently with the letter or spirit of the Terms of Service.
6.2.	CCMedia may also in its sole discretion and at any time discontinue providing the Service, or any part thereof, with or without prior notice. You agree that any termination of your access to the Service under any provision of this Terms of Service will be effective without prior notice, and acknowledge and agree that CCMedia may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Service.
6.3.	Further, you agree that CCMedia will not be liable to you or any third-party for any termination of your access to the Service.

7.Privacy and Information Use
7.1.	CCMedia has established a Privacy Policy to explain how your information is collected and used, which is posted on the Site. Your use of the Site or the Service signifies acknowledgment of and agreement to our Privacy Policy.
7.2.	You agree that CCMedia can use your information and data that you provide and/or is collected from your use of the Service subject to the Privacy Policy. You understand and agree that CCMedia may combine, audit, research and analyze these information and data, and then provide or share them with third parties. CCMedia does not disclose to these entities any information that could be used to identify you personally without your expressly consent.

8.Proprietary Rights Notice

You acknowledge and agree that the Service, all the materials available on the Site and any necessary software used in connection with the Service are the property of CCMedia and/or our affiliates or licensors, and are protected by copyright, trademark, patent, trade secret and other intellectual property laws. 9.Indemnity

You agree to defend, indemnify and hold CCMedia, and its subsidiaries, affiliates, officers, directors, employees and agents harmless from and against any and all claims, liabilities, damages, losses or expenses, including reasonable attorneys' fees and costs, due to or arising out of your access to or use of the Site or Service, your violation of the Terms of Service or any additional rules posted for a specific items on the Site, or your violation of any rights of another.

10.Disclaimer
10.1.	You expressly understand and agree that: Your use of the Site and the Service is at your sole risk. The site, and all content, documents, materials, information, software, products and services provided on the Site, are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability and fitness for a particular purpose and non-infringement.
10.2.	CCMedia makes no warranty that: (a) the Site will meet your requirements; (b) the Site and the Service will be available on an uninterrupted, timely, secure, or error-free basis; (c) the results that may be obtained from the use of the site or any content, documents, materials, information, software, products or services offered through the site will be accurate or reliable; or (d) the quality of any content, documents, materials, information, software, products or services purchased or obtained by you through the Site will meet your expectations.(e) any errors in the software will be corrected.
10.3.	Any content, documents, materials, information, software, products or services downloaded or otherwise obtained through the use of the site is done at your own discretion and risk, and you will be solely responsible for any damage to your computer system or loss of data that results from the download or use of content, documents, materials, information, software, products or services.
10.4.	CCMedia reserves the right to make changes or updates to the site at any time without notice. You specifically agree that CCMedia, its subsidiaries and affiliates shall not be responsible for unauthorized access to or alteration of the customer data or data from your website.

11.Disclaimer
11.1.	In no event shall CCMedia, its subsidiaries or affiliates or their respective licensors (if any), or its suppliers, or other third parties mentioned at this Site be liable for any direct, indirect, incidental, special, consequential, punitive or exemplary damages, including but not limited to, damages from lost profits, lost data or business interruption arising out of the use, inability to use, or the results of use of this site, any web sites linked to the site, or the software, materials or services contained at any or all such sites, incurred by you or any third party, whether based on warranty, contract, tort or any other legal theory and whether or not advised of the possibility of such damages.
11.2.	Without prejudice to the foregoing limitation, the aggregate liability of CCMedia to user under any and all theories, including but not limited to contract, breach of warranty, tort (including negligence) or product liability, shall in no event exceed the amount paid to CCMedia by you during the immediately preceding six-month period.
11.3.	Some jurisdictions do not allow the disclaimer or exclusion of certain warranties or the disclaimer, exclusion or limitation of certain liabilities. To the extent that they are held to be legally invalid, disclaimers, exclusions and limitations set forth in these terms of use, including those set forth in sections 8 and 9, do not apply.

The Site or the Service may provide links to other websites or resources. These linked sites or resources are not under the control of CCMedia and CCMedia is not responsible for the contents of any linked site or resource. You further acknowledge and agree that CCMedia shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such contents, products or services available on or through any such linked site or resource.

13.Applicable Laws

13.1.

All matters related to your access to, and use of, the Site and the Service shall be governed by the laws of the Republic of China without regards to its conflicts of law principles. Any legal action or proceeding pertaining to your access to, or use of, the Site and the Service shall be instituted in a court in Taipei, R.O.C. You and CCMedia agree to submit to the jurisdiction of, and agree that venue is proper in, these courts in any such legal action or proceeding. If there is a determination that any provision of these Terms of Service is invalid or unenforceable, that determination will not affect the rest of the Terms of Service and the Terms of Service shall be deemed amended to the minimum extent necessary to make them valid and enforceable.
